These Terms operate together with any executed recruitment agreement, staffing agreement, or service contract entered into between you and RECRUITALENT. In the event of any conflict, the executed agreement shall prevail.


2. Nature of Services

RECRUITALENT is a global recruitment and talent acquisition company specializing in IT, Technology, Telecom, Engineering, Cloud, Cybersecurity, AI, and Digital Transformation sectors.

Our Services may include:

  • Permanent staffing
  • Contract staffing
  • Executive search
  • Global talent acquisition
  • Technical recruitment
  • Candidate sourcing and screening
  • Interview coordination
  • Recruitment consulting
  • Talent mapping and workforce solutions

RECRUITALENT is not the employer of candidates unless expressly stated otherwise in writing. Final hiring decisions, onboarding, compensation, employment terms, and workforce management remain solely the responsibility of the client.


3. Eligibility and Authorized Use

The Services are intended for:

  • Employers
  • Businesses
  • Organizations
  • Hiring managers
  • Authorized company representatives
  • Job seekers and candidates

You agree to use the Services only for lawful employment, recruitment, and hiring-related purposes.

You may not use the Services for:

  • Illegal activities
  • Discriminatory hiring practices
  • Spam or unauthorized marketing
  • Data harvesting or scraping
  • Competitive intelligence
  • Reselling candidate information
  • Fraudulent recruitment activities

4. Accounts and Platform Access

If account access is provided, you are responsible for maintaining the confidentiality of your credentials and all activities conducted under your account.

You agree not to:

  • Share account access with unauthorized users
  • Attempt unauthorized system access
  • Circumvent security controls
  • Misuse platform functionality

RECRUITALENT reserves the right to suspend or terminate access for suspected misuse, security concerns, or violations of these Terms.


5. Candidate Information and Accuracy

Candidate information may include resumes, employment history, education details, certifications, skills, communication records, and publicly available professional information.

While RECRUITALENT strives to provide accurate and high-quality candidate information, we do not guarantee:

  • Accuracy or completeness
  • Candidate availability
  • Candidate interest
  • Employment outcomes
  • Hiring success
  • Long-term retention

Clients are responsible for conducting their own interviews, evaluations, background checks, and hiring decisions.


6. Candidate Data Usage Restrictions

All candidate-related information (“Candidate Data”) provided through our Services is licensed, not sold, on a limited, revocable, non-transferable basis solely for internal hiring purposes.

You may not:

  • Sell or redistribute Candidate Data
  • Share Candidate Data with unauthorized third parties
  • Use Candidate Data for marketing or lead generation
  • Build external databases using Candidate Data
  • Retain Candidate Data beyond reasonable recruitment purposes
  • Use Candidate Data for non-employment-related activities

Upon termination of services, your right to access and use Candidate Data immediately ends.

Unauthorized use of Candidate Data may result in immediate suspension, termination, and legal action.


7. Communications and Outreach

RECRUITALENT may assist with candidate outreach, interview scheduling, communications, and recruitment coordination.

You are solely responsible for your interactions, employment offers, negotiations, and communications with candidates after introduction.

We do not guarantee:

  • Candidate responses
  • Interview attendance
  • Offer acceptance
  • Hiring results
  • Employee retention

8. Compliance with Employment and Communication Laws

You agree to comply with all applicable employment, privacy, anti-spam, and communication laws, including regulations relating to:

  • Email communications
  • SMS outreach
  • Employment practices
  • Data privacy
  • Equal opportunity hiring

You are solely responsible for ensuring legal compliance in your hiring and recruitment activities.

You agree to indemnify and hold harmless RECRUITALENT from claims arising from your communications, hiring decisions, or legal violations.


9. Intellectual Property

All website content, branding, recruitment methodologies, workflows, platform systems, graphics, text, logos, and proprietary processes are the exclusive property of RECRUITALENT unless otherwise stated.

You may not:

  • Copy or reproduce platform content
  • Reverse engineer systems
  • Republish proprietary materials
  • Create derivative services
  • Use branding without written permission

10. Prohibited Conduct

You may not:

  • Introduce malware or harmful code
  • Attempt unauthorized access
  • Disrupt platform operations
  • Overload infrastructure
  • Scrape website content or databases
  • Misrepresent your identity or organization
  • Violate applicable laws or regulations

Violations may result in suspension, termination, and legal action.


11. Fees and Payments

Certain Services may be subject to recruitment agreements, placement fees, subscription plans, or service contracts.

Unless otherwise agreed in writing:

  • Fees are non-refundable
  • Payments must be made on time
  • Delayed payments may result in suspended services

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECRUITALENT DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • AVAILABILITY
  • RELIABILITY

We do not guarantee uninterrupted or error-free Services.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECRUITALENT SHALL NOT BE LIABLE FOR:

  • Lost profits
  • Lost business opportunities
  • Hiring losses
  • Employment disputes
  • Indirect or consequential damages
  • Business interruption
  • Workforce-related claims

Our total liability shall not exceed the total fees paid to RECRUITALENT during the three (3) months preceding the event giving rise to the claim.


14. Indemnification

You agree to defend, indemnify, and hold harmless RECRUITALENT and its affiliates, employees, officers, and partners from claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Services
  • Your hiring decisions
  • Violations of law
  • Breach of these Terms
  • Candidate communications
  • Employment-related disputes

15. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with applicable arbitration rules.

Arbitration shall take place in a mutually agreed jurisdiction unless otherwise required by law.

RECRUITALENT may seek injunctive or equitable relief for misuse of confidential information, intellectual property violations, or security breaches.


16. Class Action Waiver

All disputes shall be resolved individually.

You waive any right to participate in:

  • Class actions
  • Collective proceedings
  • Representative lawsuits
  • Consolidated arbitration proceedings

17. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws governing RECRUITALENT’s business operations, without regard to conflict of law principles.


18. Modifications to Terms

RECRUITALENT may update or modify these Terms at any time.

Continued use of the Services after updates constitutes acceptance of the revised Terms.


19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain valid and enforceable.


20. Entire Agreement

These Terms, together with any executed service agreements or recruitment contracts, constitute the complete agreement between you and RECRUITALENT regarding the Services.
